These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and diffray, Inc. ("diffray," "we," "us," or "our") concerning your access to and use of the diffray.ai website and our AI-powered code review service (collectively, the "Service").
BY ACCESSING OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT ACCESS OR USE THE SERVICE.
You must be at least 16 years of age to use the Service. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
To use the Service, you must connect your GitHub account through OAuth authentication. You are responsible for maintaining the security of your GitHub credentials and all activities that occur under your account.

We offer a 14-day free trial period for new users. After the free trial period, access to the Service will require a paid subscription. All fees are non-refundable except as required by law.

The Service is owned by diffray and is protected by intellectual property laws. You retain all ownership rights to your source code and data. By using the Service, you grant us a limited license to process your code for review purposes.
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. We do not guarantee that AI-generated code review suggestions are accurate, complete, or appropriate. YOU ARE SOLELY RESPONSIBLE FOR REVIEWING AND EVALUATING ALL AI-GENERATED SUGGESTIONS BEFORE IMPLEMENTATION.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIFFRAY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless diffray and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of another party; or (d) your code or content submitted to the Service.
You may terminate your account at any time by disconnecting your repositories and contacting us. We may suspend or terminate your access to the Service immediately, without prior notice, if you:
Upon termination, your right to use the Service will cease immediately. Sections that by their nature should survive termination will survive (including IP rights, disclaimers, limitations of liability, and indemnification).
The Service integrates with and relies on third-party services including GitHub, Amazon Web Services, and Anthropic (AI provider). Your use of the Service is also subject to the terms and policies of these third-party providers. We are not responsible for the actions or policies of third-party services.
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to the practices described in the Privacy Policy.
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.
We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising out of these Terms shall be brought exclusively in the federal or state courts located in Delaware.
Before filing a claim, you agree to try to resolve the dispute informally by contacting us at support@diffray.ai. If we cannot resolve the dispute informally within 30 days, either party may pursue formal legal action as described in the Governing Law section.
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and diffray regarding the Service and supersede all prior agreements and understandings.
